The Statutes of Taiwan Technical Textiles Association

Chapter I. General Provisions

Article 1.
The name of this organization is Taiwan Technical Textiles Association (hereafter referred to as TTTA.)
Article 2.
This association is a legitimate and non-profit social organization. The objective is to promote the cooperation between Taiwan textile production and application industries to achieve prosperity for mutual interests.
Article 3.
TTTA regards the entire administrative territory of Taiwan as its organization domain.
Article 4.
TTTA is headquartered at the location of its ruling office and is eligible to establish branch offices upon ratification by the ruling office.
The outline provisions for said branch offices are to be drafted, approved by the ruling office and implemented.
Change of address for TTTA and its branch offices must be reported to the ruling office.
Article 5.
The functions of TTTA are as follows:
1.Promote the development of technical textiles in line with government industrial policies.
2.Promote the applications of technical textiles and relevant strategic alliances.
3.Promote the establishment of a prompt market reaction mechanism for technical textile industries.
4.Cultivate industries in technological and product creativity, and help establish product testing standards and promote trademarks and brand names.
5.Host related research and promotion activities.
6.Participate, promote and consolidate relevant domestic, international and cross-strait academic activities.
Article 6.
The ruling office of TTTA is the Ministry of Internal Affairs.
Supervisory offices for main target businesses are the Ministry of Economic Affairs and the Mainland Affairs Council of the Executive Yuan.
The main target businesses of TTTA are to be operated under the guideline and supervision from respective supervisory offices.

Chapter II. Membership

Article 7.
Membership qualifications are as follows:
Individual membership: Individuals over the age of twenty, in favor of the objective of TTTA and interested in the promotion of technical textile development are eligible to apply for membership.
Group Membership: Public and private agencies or groups in favor of the objective of TTTA are eligible to apply for membership.
Permanent membership: Individuals or groups that pay up at once the entrance fee and annual membership fee of ten years become permanent individual or group members.
Sponsoring membership: Individuals or groups who support the work of TTTA and make monetary donations become sponsoring members upon approval by the board of directors.
Article 8.
All members have the rights to vote, to elect, to be elected and to impeach. Each member is entitled to one ballot. Sponsoring members are excluded.
Article 9.
All members have the obligation to abide by TTTA statutes, resolutions and membership fee commitment.
Article 10.
Members violating regulations and statutes or not abiding by member assembly resolutions can be given warnings or suspension from member rights by way of board resolution. Members seriously endangering group interests can be removed from the member list by way of member assembly resolution.
Article 11.
Membership revocation or removal from the member list signifies expulsion .
Article 12.
Members can surrender membership in writing.

Chapter III. Structure and Functions

Article 13.
The member assembly is the highest authority of TTTA. When total memberships exceed three hundred, member representatives are to be elected in accordance with proportion and member representative assembly is to be convened to practice the authority of member assembly. The number, term and election regulations of member representatives are to be drafted by the board of directors, presented to the ruling office and implemented.
Article 14.
The functions of the member assembly are as follows:
1.Stipulation and modification of TTTA statutes.
2.Election and impeachment of board directors and supervisory directors.
3.Decision of entrance fee, annual fee, business fee and the amount and mode of donations.
4.Decision of annual work projects, reports, budgeting and final accounting.
5.Decision of membership revocation.
6.Decision of financial disposal.
7.Decision of dissolution of TTTA.
8.Decision of other important items related to member rights and obligations.
The aforementioned important items are to be defined by the board of directors.
Article 15.
TTTA is comprised of 21 directors and 5 supervisory directors to be elected by members and respectively form the board of directors and the board of supervisory directors. At the election of aforementioned directors and supervisory directors, in accordance with the ballot counts, 5 alternate directors and 1 alternate supervisory director are also to be elected to serve in case of a vacancy of director or supervisory director.
Article 16.
The functions of the board of directors are as follows:
1.Reviewing of member qualifications.
2.Election and impeachment of directors, administrative directors and the chairperson of the board.
3.Decision of resignation of directors, administrative directors and the chairperson of the board.
4.Employment of staff members.
5.Planning of annual work projects, reports, budgeting and final accounting.
6.Other executive duties.
Article 17.
The board of directors consists of five administrative directors to be elected among board members; the directors of the board are then to elect from the five administrative directors the chairperson of the board to oversee internal affairs, represent TTTA externally and preside member assembly meetings and board director meetings. In case of inoperability, the chairperson is to designate one administrative director to be the substitute. When no designation is done or the chairperson is unable to designate, the administrative directors are to elect among themselves an acting chairperson.
In case of vacancy of the chair or an administrative director, the by-election is to take place within one month.
Article 18.
The functions of the board supervisory directors are as follows:
1.Supervision of duties of the board of directors.
2.Reviewing of Annual final accounting.
3.Election and impeachment of the administrative supervisory director.
4.Decision of resignation of supervisory directors and the administrative supervisory director.
5.Other supervisory duties.
Article 19.
The Supervisory board consists of one administrative supervisory director elected among supervisory directors to supervise routine affairs and chair the supervisory board.
In case of inoperability, the administrative supervisory director is to designate one supervisory director to be the substitute. When no designation is done or the administrative supervisory director is unable to designate, the supervisory directors are to elect among themselves an acting administrative supervisory director.
In case of vacancy of the chair of the supervisory board (the administrative supervisory director), the by-election is to take place within one month.
Article 20.
Board directorship and supervisory board directorship are jobs without pay. The duration of term is three years. Re-election is unlimited. The chairperson is limited to one re-election.
Article 21.
Board directors and supervisory board directors are to be decommissioned when the following situations occur:
1.When membership is deprived.
2.When resignation is approved by resolution of board of directors or board of supervisory directors.
3.When impeachment or decommission is ascertained.
4.When duty suspension exceeds half of the term.
Article 22.
TTTA is instated with one secretary-general and several staff workers nominated by the board chairperson, approved by the board of directors, reported to the ruling office and then commissioned to manage internal affairs under the chairperson. The ruling office must be notified of the decommissioning of the secretary-general in advance. The duties of said staff workers are not to be assumed by regular employees. Duties of staff workers and division of work are to be stipulated by the board.
Article 23.
TTTA is to instate a variety of committees, task forces and other agencies for internal operations. The outline provisions for the organization as well as their modifications are to be approved by the board and implemented.
Article 24.
TTTA may have one honorary board chairperson and several honorary board directors and consultants commissioned by the board of directors to serve the same tenure as the directors and supervisory directors

Chapter IV. Meetings

Article 25.
Regular and emergency meetings of the member assembly are to be convened by the board chairperson. Except in emergencies members are notified in writing fifteen days prior to the meeting. The regular meeting is held annually. Emergency meetings are held when deemed necessary by the board or upon request by at least one fifth of total members or upon notification by the supervisory board. After TTTA becomes incorporated, at the request of at least one tenth of total members an emergency meeting can be convened.
Article 26.
In case of absence, a member can delegate another member by way of written authorization. Each member is allowed to accept one delegation only.
Article 27.
Resolutions by the member assembly must be approved by the majority of majority attendance. Stipulation and modification of TTTA statutes, revocation of membership, impeachment of directors and supervisory directors, disposal of property, dissolution of TTTA and other important issues related to member rights and obligations require approval by two thirds of the total attendance. After TTTA has become incorporated, modification of statutes requires approval by three fourths of the total attendance or by two thirds of total members submitted in writing. TTTA can be dissolved at any time by the resolution of two thirds of total members.
Article 28.
The board of directors and the board of supervisory directors must respectively meet once at least every three months; joint-meetings and emergency meetings can be convened when deemed necessary.The said meetings except emergency meetings must be notified in writing seven days in advance. Resolutions require approval respectively by the majority of majority attendance.
Article 29.
Board directors and supervisory board directors are not allowed to delegate attendance. Unjustified absence on two consecutive occasions of board directors and supervisory board directors is regarded as submittal of resignation.

Chapter V. Revenues and Accounting

Article 30.
Sources of funds for TTTA are as follows:
1.Entrance fee: Entrance fee of NT$3,000 per individual member and NT$10,000 per group member is to be paid at the inception.
2.Annual fee: Annual fee is NT$1,000 per individual member and NT$10,000 per group member.
3.Business fee.
4.Member donations.
5.Delegated incomes.
6.Funds and interest thereof.
7.Other incomes.
Article 31.
TTTA adopts the calendar year as fiscal year, from January 1 to December 31 each year.
Article 32.
Two months prior to the beginning of each fiscal year the board prepares annual work projects, budget balance estimates and staff salary estimates to be approved by the member assembly, or by the joint-meeting of board of directors and board of supervisory directors in case of unexpected postponement of the member assembly meeting, and reported to the ruling office before the beginning of fiscal year. At two months after each fiscal year the board of directors prepares the annual work report, final accounting results, cash balance, annual balance sheet, list of property and balance of funds to be reviewed by the supervisory board to prepare review comments for the board of directors to present to the member assembly for ratification and report to the ruling office, or directly report to the ruling office in case of unexpected postponement of the member assembly meeting.
Article 33.
After dissolution of TTTA, remaining property belongs to the local autonomous organizations or agencies designated by the ruling office.

Chapter VI. Appended Provisions

Article 34.
Areas not stipulated by these statutes are to be administered in accordance with related regulations.
Article 35.
These statutes are to be approved by the member (member representative) assembly and reported to the ruling office before implementation. Same procedures are required for any modification made to these statutes.
Article 36.
These statutes have been approved at TTTA¡¦s first member assembly meeting on May 31, 2004 and reported to register with the Ministry of Internal Affairs Tai-Nei-She-Tzu No.64442.
